IMPORTANT LEGAL NOTICE

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User,” “you,” or “your”) and My Speaking Score (“Company,” “we,” “us,” or “our”).

By accessing or using the platform located at www.myspeakingscore.com (the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site.

1. Grant of Limited License

Subject to your compliance with these Terms, My Speaking Score grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Site solely for personal, non-commercial TOEFL® Speaking practice and self-evaluation.

This license does not convey any ownership interest in the Site or its content. All rights not expressly granted are reserved by My Speaking Score.

2. Intellectual Property & Proprietary Rights

2.1 Ownership

The Site and all materials made available through it, including but not limited to audio prompts, scoring logic, interfaces, code, text, graphics, and branding (collectively, “Company Content”), are owned by My Speaking Score or its licensors and are protected by applicable intellectual property laws.

2.2 Restrictions

You may not reproduce, distribute, publicly display, commercially exploit, or create derivative works from Company Content without prior written permission.

For clarity, prohibited derivative uses include:

• redistributing or publishing proprietary prompts or audio

• creating commercial sample answers or templates derived from Company Content

• translating or repackaging Company Content for public or commercial use

3. Prohibited Uses

You agree not to engage in any activity that interferes with the integrity, security, or intended use of the Site, including:

3.1 Automated Access & Scraping

• Using automated tools to extract Site content or data

• Circumventing access controls or usage limits

3.2 AI & Machine Learning Misuse

• Using Company Content to train, fine-tune, or validate AI or ML models

• Submitting Company Content into third-party AI systems for redistribution or commercial reuse

3.3 Account & Content Security

• Sharing accounts or access credentials

• Recording or redistributing proprietary audio or scoring outputs

4. User Content & Data

4.1 User Submissions

By submitting audio recordings or text (“User Content”), you grant My Speaking Score a non-exclusive, royalty-free license to process such content solely for:

• providing scoring and feedback

• improving service quality

• internal research and system evaluation

Where feasible, data used for improvement is anonymized and aggregated.

4.2 Moderation

We reserve the right to remove User Content that violates these Terms or applicable law.

5. Disclaimers

5.1 Service Provided “As Is”

The Site is provided on an “AS IS” and “AS AVAILABLE” basis. We disclaim all warranties, express or implied.

5.2 No Guarantee of Outcomes

Scores and feedback are provided for practice and informational purposes only. We do not guarantee:

• score increases

• correspondence with official TOEFL iBT® results

• uninterrupted or error-free operation

6. Limitation of Liability

To the maximum extent permitted by law, My Speaking Score shall not be liable for indirect or consequential damages. Our total liability shall not exceed the greater of USD $100 or the amount you paid us in the prior six months.

7. Termination

We may suspend or terminate access if we reasonably believe you have violated these Terms. Upon termination, your license ends immediately. Fees are non-refundable.

8. General Provisions

Governing Law: These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of laws principles.

Severability: Invalid provisions will be limited to the minimum extent necessary.

Modifications: Continued use after updates constitutes acceptance.
